Bologna, 30 March 2020 – Datalogic S.p.A. (Borsa Italiana S.p.A.: DAL) - a company listed in the STAR Segment of the Italian Stock Exchange managed by Borsa Italiana S.p.A. (“Datalogic”) and global leader in the automatic data capture and process automation markets - communicates, pursuant to art. 2.6.2. n. 1 letter b) of the regulation of the markets organized and managed by Borsa Italiana S.p.A., some changes to the calendar of the main corporate events expected for 2020.
The changes concern in particular (i) the postponement, from 30 April 2020 to 4 June 2020, of the Shareholders' Meeting which will be called, inter alia, for the examination of the financial statements at 31 December 2019, in light of the health emergency related to COVID-19 (Coronavirus) and the regulations issued with the 17 March 2020 Legislative Decree, n. 18 (so-called Legislative Decree "Cura Italia") and (ii) the postponement from 11 May 2020 to 14 May 2020 of the Board of Directors’ meeting called to evaluate additional periodic financial information (Interim Report) as at 31 March 2020.
The Board of Directors confirms that it will propose to the aforementioned Shareholders' Meeting the distribution of an ordinary unit dividend, gross of withholding taxes, equal to 30 euro cents per share, for a maximum total amount of 17,533,947 euros, with coupon detachment on 15 June 2020 (record date 16 June 2020) and payment starting on 17 June 2020.
The new 2020 calendar of corporate events is as follows:
• 14 May 2020 – Board of Directors’ meeting for the examination of the additional periodic financial disclosure (Quarterly Report) as of March 31, 2020.
• 4 June 2020 – Shareholders' Meeting for the examination of the financial statements at December 31, 2019.
• 5 August 2020 – Board of Directors’ meeting for the examination of the half year financial report as of June 30, 2020.
• 12 November 2020 – Board of Directors’ meeting for the examination of the additional periodic financial disclosure (Quarterly Report) as of September 30, 2020.
With reference to the recent developments of the health emergency and in full compliance with government decrees, it is informed that the Datalogic Group has remained open in all the main offices, which, in an integrated manner, provide for the research and development and production of irradiation equipment referred to in Annex 1 DCPM 22 March 2020. The Datalogic Group also carries out activities that are instrumental to the supply of key services and solutions for other companies, which are part of strategic supply chains (e.g. services for the pharmaceutical, food and logistics sectors, including postal and courier services).
