Datalogic (Star: DAL) - Announces Bill Parnell's departure and Pietro Todescato appointment as new CEO of Datalogic ADC

Bologna, 10th August 2015. Datalogic S.p.A. (a Company listed in the STAR Segment of the Italian Stock Exchange managed by Borsa Italiana S.p.A.) announces that Bill Parnell - Chief Executive Officer of Datalogic ADC (Automatic Data Capture) - has decided to leave Datalogic Group and Pietro Todescato has been appointed new CEO of Datalogic ADC. 

Pietro Todescato – currently member of the Board of Directors of Datalogic S.p.A. and Group Chief Technology Officer - has worked for Datalogic Group since 1991 and He has spent more than ten years in the US, where he still lives, holding different roles, not only in R&D, but also with responsibility for the management and development of significant portions of Datalogic business.

Please note that Datalogic and Mr. Parnell have reached an agreement qualified as “related party transaction of lesser significance”, being Mr. Parnell a Key Manager of Datalogic Group.

The Company Related Party Transactions of Lesser Significance Committee - having been informed about the relevant details of the agreement and having examined in depth the structure and conditions of the transaction - has expressed a favorable opinion as to the completion of the transaction, recognizing (i) that the transaction is in the interests of Datalogic Group (ii) the convenience and substantial correctness of the transaction terms.

Pursuant to the current Datalogic Procedure for the approval of Related Party Transactions (as modified on July 24th 2015), the transaction has been then approved by the Chairman of the Board of Directors and CEO of the Company Romano Volta and by the Chairman of the Board of Datalogic ADC, Inc. Valentina Volta. 

It should be noted that:

-    no further documentation (“documento informativo”) is intended to be published by the Company; 

-    the Company does not rely on any exemption from the application of Datalogic Procedure for the approval of Related Party Transactions.
